Corporate Finance Associate
Duties: Represent financial institutions, corporate borrowers, and private equity firms in a wide range of banking and finance transactions, including cross-border. These transactions include secured and unsecured commercial lending, project financing, acquisition financing, energy and utility financings. Draft and negotiate loan documentation (including credit agreements – syndicated and bilateral, term and revolving, single and multi-tranche; guarantees; security agreements; account control agreements; inter-creditor agreements; subordination agreements; and pledge agreements) and legal opinions. Conduct regulatory due diligence. Conduct legal research and analysis. Review U.S. corporate documents in the context of lending transactions. Communicate and correspond with colleagues, clients, and other counsel.
