A law firm seeks a Corporate Attorney with extensive private equity and private real estate investment fund formation experience to join their Corporate Practice Group in New York City, NY. The ideal candidate will have a strong background in fund formation, private placements, and securities regulation.

Duties

• Assist clients in all aspects of fund formation and private placements.
• Advise on securities regulation, including the Securities Act of 1933 and the Investment Advisers Act of 1940.
• Represent venture capitalists, private equity firms, hedge fund managers, and family offices in various transactions.
• Manage investment fund structuring, including fund terms and conditions and investor negotiations.
• Oversee day-to-day fund operations.

Requirements

• Minimum of seven years of relevant experience.
• Excellent academic credentials.
• Admission to the respective state bar.

Education

• Juris Doctor (JD) degree required.

Certifications

• State bar admission.

Skills

• Strong understanding of securities regulation.
• Proficiency in fund formation and structuring.
